Is wholesaling legal in Rhode Island?

The short answer — Rhode Island

Today: no wholesaling license law is in force yet. On January 1, 2027, that changes completely — Rhode Island's new law will require an active real estate license to enter a wholesale or assignment contract more than once in any 12 months, with written disclosures to both sides and a 3-business-day cancellation right. Plan for the flip now.

Rule: R.I. Gen. Laws ch. 34-51 (§§ 34-51-1 to -6), amending §§ 5-20.5-1, -2 (2026 S 3136 Sub A / H 7840) · In force: License requirement January 1, 2027 · Penalty if ignored: From Jan. 1, 2027: fines of $500 for a first violation and $1,000 for each later one, plus civil liability of 1× to 3× the fee or profit. If disclosures are missing, either side may cancel any time before the deal closes.

What Rhode Island law actually says

Rhode Island's 2026 act (Chapter 34-51) says that from January 1, 2027, no person may enter a wholesale or assignment contract unless they hold an active Rhode Island license or a statutory exemption. The broker definition now reaches securing or assigning equitable interests for gain more than once in any 12 months. The wholesaler must disclose in writing to the owner (they may assign for a fee) and to the assignee (they hold only equitable interest, no title); the transfer cannot happen until the cancellation period expires; and the assignment may not bar the assignee's own attorney or title provider. Until the effective date, the general principal line applies: market your contract, never the property.
